本协议中，甲方、乙方、丙方合称“三方”，单称“各方”
鉴于：
乙方公司自身所出现的重大问题，已不具备继续履行“苏州中南世纪城70#楼精装修”工程合同的条件，为了不影响甲方的工程进度和由此产生的严重不利后果，经甲乙丙三方与工程的项目实际负责人周家福协商，现根据《合同法》及其他相关法律法规，本着平等自愿、互惠互利的原则，通过友好协商，甲方同意乙方将合法享有的“苏州中南世纪城70#楼精装修”工程【位于苏州市吴江区长坂路
。上述工程内容以下统称“项目”】转让给丙方事宜达成一致，丙方知悉该项目情况并自愿受让，并订立本协议，供甲乙丙方三方共同遵守。
为此，根据国家有关法律法规的规定，经各方友好、自愿、平等协商，就转让合同中受让方主体变更事宜，达成如下协议，以资信守。
一、三方一致确认，乙方将合法享有的“项目”全部交付丙方享有。自2014年
5月30日（下称“转让日”）起，丙方声明及确认，其已仔细阅读、详细了解甲方招标文件施工合同项下的所有内容及财务情况，同意受让该“项目”建设的一切权利和义务，并响应业主在施工文件中的一切要求。
二、本协议生效后，甲乙丙任何一方不得无故提出终止。修改本协议须经三方协商一致并签署书面补充协议。
三、乙方无偿向丙方转让本协议约定的工程“项目”。
四、自“项目”转让生效之日起，丙方享有该项目自甲乙双方合同生效之日起所产生的收益，并承担相应的义务和风险，即与该“项目”有关全部收益与风险均由丙方一概承担。
五、争议的解决
各方对本协议有关条款的解释或履行发生争议时，应通过友好协商的方式予以解决。协商不成的向吴江区人民法院提起诉讼。
六、本协议自各方的代表人在本协议上签字并加盖公章之日起生效。
七、本协议一式肆份，甲乙丙各方各持壹份，项目实际负责人周家福执壹份，各份均具有同等法律效力。

三、检测内容及合格标准
1、对涉及混凝土结构安全的重要部位进行结构实体检验。结构实体在监理工程师的见证下，由施工单位的项目技术负责人组织实施。
2、结构实体的检测内容包括混凝土构件强度、钢筋保护层、楼板厚度、楼面标高、主要构件断面尺寸。
3、结构实体质量检验项目合格的判定标准。
3.1混凝土抗压强度的合格判定标准为：每个检测构件强度值不小于设计值，混凝土抗压强度回弹值按《回弹法检测混凝土抗压强度技术规程》执行。
3.2混凝土现浇板厚度的合格判定标准为：每块板检测平均值满足设计值，充许偏差范围为+8mm～-5mm。
3.3钢筋保护层的合格判定标准为：满足混凝土结构工程施工质量验收规范（GB50204-2002）附录E的规定。
四、结构实体抽测方法、部位及数量
本工程结构实体抽测混凝土强度采用回弹法、钢筋保护层及现浇板板厚采用非破损法。

乙方在中国境内应缴纳的税费及向丙方支付的服务费之和为本协议第2.1条所述的含税费和服务费的设计费总额的8.4%，其中税费为含税费和服务费的设计费总额的7.34%（如因中国国家及地方税收政策的变更而导致税费减少或增加，应从变更生效之日起相应核减或核增该项百分比）；服务费为含税费和服务费的设计费总额的1.06%。税和服务费由丙方从收到甲方款项中扣除请确保不会影响乙方每一笔设计费金额。

Law
本协议按照中华人民共和国法律解释，各方之间的权利和义务受中华人民共和国法律的管辖和保护。

Supplementary
Agreement,its
meaning
and
interpretation,and
the
rights
and
liabilities
of
each
party
hereunder
shall
be
governed
by
the
laws
of
the
People’s
Republic
of
China.

争议的处置/Settlement
of
Disputes
各方应互相通报在履行本协议过程中所发生的问题，及时磋商解决办法，由于延误造成的损失由责任方承担。各方在履行本协议过程中所发生的争议，应先通过友好协商解决，协商解决不成时，任何一方均有权将争议提交给上海仲裁委员会并按照申请仲裁时该会适用的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均具有约束力。仲裁地点为上海。仲裁语言为中文。
Parties
hereto
shall
notify
each
other
regarding
issues
arising
during
execution
of
this
Supplementary
Agreement
and
discuss
solutions
in
a
timely
manner.
Losses
due
to
delay
of
such
notice
shall
be
borne
by
the
responsible
party.
Any
dispute
arising
during
execution
of
this
Supplementary
Agreement
shall
be
settled
amicably
though
friendly
consultation;
if
it
cannot
be
settled
amicably,such
dispute
may
be
submitted
by
any
party
to
Shanghai
Arbitration
Commission
for
arbitration
in
accordance
with
the
applicable
arbitration
rules
of
such
commission
at
the
time
of
submission.
The
arbitration
award
is
final
and
binding
upon
both
parties.
The
arbitration
shall
be
held
in
Shanghai.
The
language
of
arbitration
is
Chinese.

生效/Effectiveness
本协议经三方的法定代表人或法定代表人的授权代表签署并报上海市商务委员会备案后生效，在主合同及其补充协议（若有时）项下的设计费支付完毕后失效，或者经三方一致同意后失效。本合同的最长有效期为2年。
The
Supplementary
Agreement
will
become
effective
for
2
years
after
it
is
duly
signed
by
each
party’s
legal
representative
and
registered
in
Shanghai
Economic
and
Trade
Commission,and
will
be
terminated
after
the
design
fee,as
defined
in
the
Main
Contract,has
been
paid
or
be
otherwise
terminated
as
agreed
to
by
all
parties.

与主合同的关系/Governing
Contract
如果本协议的内容与主合同有不符之处，则以本协议的内容为准。
If
there
is
any
discrepancy
between
this
Supplementary
Agreement
and
the
Main
Contract,this
Supplementary
Agreement
will
prevail.

Agreement
Copies
本协议正本一式6份，其中甲方执2份，乙方执2份，丙方执2份。所有正本具有同等法律效力。

Agreement

Party
B,two
and
two
for
Party
C.
All
signed
copies
have
the
same
legal
effect.
9
其它/Others
9.1
在本协议的有效期内，三方中的任何一方不得单方面提出终止。
During
the
validity
period
of
this
Supplementary
Agreement,no
party
shall
terminate
this
Supplementary
Agreement
at
its
sole
discretion.
9.2
由于不可抗力造成本协议不能履行时，不构成受到不可抗力影响一方的违约，如因此而造成任何一方的损失，由损失方自理。
The
failure
of
any
party
to
fulfill
its
obligations
under
this
Supplementary
Agreement
due
to
Force
Majeure
shall
not
be
considered
as
breach
of
contract,and
losses
of
any
Party
Caused
by
the
Force
Majeure
event
shall
be
borne
by
itself.
9.3
对本协议所作的任何修改或补充，均需经三方法定代表人或其授权代表协商一致，并以书面形式签署修改或补充协议，所签署的修改或补充协议将成为本协议不可分割的一部分，具有同等法律效力。相关内容不一致时，应以后签署的修改或补充协议为准。
Any
amendment
and
supplement
to
this
Supplementary
Agreement
are
subject
to
the
consent
of
authorized
representatives
of
each
party
in
writing.
Such
amendment
and/or
supplement
shall
become
an
integral
part
of
this
Agreement
with
equal
legal
effect.
If
there
is
any
discrepancy
between
such
amendment
and/or
supplement,the
amendment
and/or
supplement
signed
later
shall
prevail.
